IncasetheSellerisliableforthediscrepanciesandaclaimismadebytheBuyerwithintheperiodofclaimasstipulatedinClause12ofthiscontract,theSellershallsettletheclaimupontheagreementoftheBuyerinthefollowingways:
A.AgreetorejectionofthegoodsandreturntheBuyerthevalueofthegoodssorejectedinthesamecurrencyascontractedherein,andbearalldirectlossesandexpensesinconnectiontherewithincludinginterestaccrued,bankingcharges,freight,insurancepremium,inspectioncharges,storage,stevedorechargesandallothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods.
B.Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyer.
C.Replacethedefectivegoodswithnewones,whichconformtothespecifications,qualityasstipulatedinthiscontract,andbearallexpensesincurredanddirectlossessustainedbytheBuyer.
14．Arbitration：
Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereachedthroughnegotiations,thecaseshouldthenbesubmittedforarbitrationtotheForeignTradeArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTrade,Beijing,inaccordancewiththe“ProvisionalRulesofProceduresoftheForeignTradeArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTrade”.ThearbitrationshalltakeplaceinBeijingandthedecisionrenderedbythesaidCommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtorotherauthoritiesforrevisingthedecision.Thearbitrationfeeshallbebornebythelosingpart.Orthearbitrationmaybesettledinthethirdcountrymutuallyagreedonbybothparties.
